    Filing of the amending entry for dissolution and supporting documents


    Scope of application

    Any commercial company or SCI considered as such (and its liquidator) in the process of voluntary closure (dissolution then liquidation).

    Description

    Any registered legal person requesting the dissolution or the decision pronouncing the nullity of the legal person for any reason whatsoever, must make an amending entry within the month of the fact or act of the dissolution.

    The amending registration (M2 form) must be signed by the liquidator and transmitted to the business formalities office ("Guichet des formalités des entreprises") accompanied by:
    • an indication of the name, usual name, pseudonym, first names and domicile of the liquidators (identity document) ;
    • a sworn statement that the liquidator has not been convicted of a criminal offence and that he or she is related to the deceased (surname and forenames of the father and mother) ;
    • an original power of attorney from the legal representative if he has not signed it himself ;
    • a certificate of publication of the notice of modification in a journal of legal notices ;
    • a copy of the registered EGM minutes.
