Modification of the register of securities movements and shareholder account

Any company transferring ownership of ordinary shares, convertible shares or bonds.

The register must summarize in chronological order all transactions of transfer and conversion of securities of the company. New shares issued on capital increases may also be listed. The register must contain the information relating to the transfer and conversion of securities, and in particular:

1. The date of the operation;
2. The surname, forenames and domicile of the former and the new owner of the securities, in case of transfer;
3. The surname, forenames and domicile of the holder of the securities, in case of conversion of bearer securities into registered securities;
4. The nominal value and the number of securities transferred or converted. However, when these securities are shares, the share capital and the number of securities represented by all the shares of the same class may be shown instead of their nominal value;
5. if applicable, if the company has issued shares of different categories and if there is only one register of registered shares, the category and characteristics of the shares transferred or converted;
6. A serial number assigned to the operation.

In the case of a transfer, the name of the former holder of the securities may be replaced by a serial number which will enable the name to be found in the registers.
