Description
The minutes of the deliberations of the members shall be recorded in a special register kept at the registered office and marked and initialled either by a judge of the commercial court, or by a judge of the judicial court, or by the mayor of the municipality of the registered office or a deputy mayor, in the ordinary form and without charge.
The register may be kept and the minutes drawn up in electronic form; in this case, the minutes shall be signed by means of an electronic signature that complies at least with the requirements for an advanced electronic signature set out in Article 26 of Regulation (EU) No 910/2014 of the European Parliament and of the Council of 23 July 2014 on electronic identification and trust services for electronic transactions in the internal market. The minutes shall be electronically dated by a time-stamping means offering any guarantee of proof.
